1. Acceptance of Terms

By accessing or using the website, Chrome extension, and related services operated by Ecom Solutions LLC, doing business as Dropanion (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms may be updated at any time; continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

2. Services Provided

Dropanion offers eBay dropshipping automation tools including product research, listing automation, title optimization, smart fulfillment tracking, and a profit dashboard. Dropanion's tools assist in retrieving product data and automating listing creation; however, you remain the seller of record on eBay and retain full decision-making authority and responsibility over all actions taken through your eBay and Amazon accounts. We may modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Geographic Availability & Eligibility

Dropanion is designed and officially supported for use with United States (ebay.com) and United Kingdom (ebay.co.uk) eBay seller accounts only, as stated on our Pricing page and FAQ. Users outside these regions may access and purchase the Services, but:

• Full functionality is not guaranteed for unsupported regions or eBay marketplaces.
• No refund will be issued due to incompatibility with an unsupported region or marketplace.
• Dropanion makes no representation that the Services meet the legal or regulatory requirements of any jurisdiction outside the United States.
• You are responsible for determining whether use of the Services is lawful in your location.

Technical access to other Amazon or eBay country domains does not constitute official support for those regions.

4. Accounts

• You must be at least 18 years old, or have valid parental or legal guardian consent, to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You may not share, sell, or transfer your account to any other person.
• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You must notify us immediately at help@dropanion.com if you suspect any unauthorized use of your account.

5. Third-Party Platform Access & Authorization

By using the Services, you authorize Dropanion's Chrome extension to access and operate within your eBay and Amazon accounts for the purpose of retrieving product data, creating listings, and assisting with fulfillment. You acknowledge and agree that:

• You are granting this authorization voluntarily and retain full control over your accounts at all times.
• Dropanion operates on your accounts at your direction; you are solely responsible for all actions taken.
• Any consequences resulting from the use of automation tools on your eBay or Amazon accounts — including account restrictions, suspensions, or permanent bans — are your sole responsibility.
• Dropanion is not affiliated with, endorsed by, or partnered with eBay, Amazon, or any other third-party platform referenced in the Services.
• Third-party platforms may change their policies, APIs, or systems at any time, which may affect the functionality of the Services. Dropanion is not liable for any such changes or their impact on your account or business.

6. Subscriptions & Payments

• Payments are processed securely through Stripe. By providing payment information, you authorize Dropanion to charge your payment method on a recurring basis.
• Subscriptions are billed monthly and automatically renew at the end of each billing cycle unless canceled before the renewal date.
• New users may receive promotional pricing for their first billing period; standard rates apply upon renewal.
• Dropanion reserves the right to change subscription pricing at any time. Price changes will be communicated via email or by posting on the website. Continued use of the Services after a price change constitutes your acceptance of the new pricing.
• To cancel, you must do so before your next renewal date. Cancellation takes effect at the end of the current billing period; you will retain access through that date.
• All fees are non-refundable unless otherwise required by applicable law. No refund will be issued for partial use of a billing period, failure to cancel before renewal, or incompatibility with an unsupported region or platform.

7. Acceptable Use & Prohibited Conduct

You agree not to use the Services to:

• Engage in any illegal activity or violate any applicable local, national, or international law or regulation.
• Reverse engineer, decompile, disassemble, copy, or create derivative works based on the Services or any portion thereof.
• Circumvent, disable, or interfere with security features or access controls of the Services.
• Use automated scripts, bots, or tools to access the Services in any manner not expressly permitted by these Terms.
• Attempt to gain unauthorized access to any part of the Services or to other users' accounts.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Violate eBay's, Amazon's, or any other third-party platform's terms of service, policies, or guidelines while using the Services. You are solely responsible for ensuring your use of the Services and extension complies with all applicable third-party platform terms.
• Use the Services in a way that could damage, disable, overburden, or impair any Dropanion or third-party server or network.
• Resell, sublicense, or otherwise make the Services available to third parties without prior written consent from Dropanion.

8. Intellectual Property & VeRO Compliance

While Dropanion's tools assist in retrieving product data and automating listing creation, you are the seller of record on eBay and retain full decision-making authority and responsibility over which products are listed. Dropanion does not independently verify whether any product is subject to trademark, copyright, patent, eBay VeRO (Verified Rights Owner) restrictions, or any other intellectual property protection — that verification is entirely your responsibility.

• You must ensure that all products you list comply with all applicable intellectual property laws and eBay's VeRO program before listing.
• Dropanion is not liable for any intellectual property infringement claim, DMCA notice, VeRO takedown, brand cease-and-desist letter, or any legal action — whether directed at you or at Dropanion — arising from your listing activity.
• If Dropanion receives a legal complaint related to your use of the Services or your listings, Dropanion reserves the right to cooperate with the complainant, remove or disable access to content, and/or suspend or terminate your account without refund.

9. Financial Data & Tax Disclaimer

The profit tracking dashboard and any revenue, expense, or profit data displayed within the Services are provided for informational and convenience purposes only. Dropanion does not guarantee the accuracy, completeness, currency, or reliability of any financial data shown.

• You are solely responsible for verifying all financial figures independently and maintaining your own accurate business records.
• You are solely responsible for calculating, reporting, and remitting all applicable taxes, including but not limited to income tax, self-employment tax, sales tax, and VAT.
• Nothing in the Services constitutes financial, accounting, or tax advice. Dropanion is not a licensed financial advisor, accountant, or tax professional.
• You should consult a qualified tax professional or accountant regarding your specific tax obligations.
• Dropanion is not liable for any tax liability, penalties, interest, or financial loss arising from your reliance on data displayed within the Services.

10. No Earnings Guarantee & Business Risk

Dropanion is a tool designed to assist with eBay dropshipping tasks. We make no guarantee, representation, or warranty that use of the Services will result in any profit, revenue, sales, or positive business outcome. Individual results vary significantly based on factors entirely outside Dropanion's control, including but not limited to:

• Your product selection, sourcing, and pricing strategy.
• Market conditions, competition, and demand on eBay and Amazon.
• Your level of effort, experience, and business decisions.
• Changes to eBay's or Amazon's algorithms, policies, or fee structures.
• Supplier availability, shipping times, and fulfillment issues.

Dropanion is not liable for any business losses, lost profits, lost revenue, lost sales, or any other financial harm arising from your use of or reliance on the Services. Dropshipping involves inherent business risk, and you assume full responsibility for all business decisions made in connection with your use of the Services. Nothing in our marketing materials, website, or the Services themselves constitutes a promise or guarantee of earnings.

11. Intellectual Property Ownership

All content, software, trademarks, trade names, logos, and other intellectual property comprising or related to the Services are owned by or licensed to Dropanion and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your personal or internal business purposes in accordance with these Terms. You acquire no ownership rights in any part of the Services by using them.

12. Third-Party Data Accuracy

The Services rely on data retrieved from third-party platforms including Amazon and eBay. Dropanion does not control and is not responsible for the accuracy, completeness, timeliness, or availability of data sourced from third parties. Product prices, stock levels, shipping information, images, titles, and other data may be inaccurate, outdated, or unavailable at any given time. Any business decisions made based on data retrieved through the Services are made at your own risk, and Dropanion is not liable for any loss or damages resulting therefrom.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. DROPANION DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DROPANION AND ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

WITHOUT LIMITING THE FOREGOING, DROPANION IS NOT RESPONSIBLE FOR:

• Any restriction, suspension, or permanent ban of your eBay, Amazon, or any other third-party platform account.
• Any listing removal, seller defect, or policy violation action taken by eBay, Amazon, or any other platform against your account.
• Any financial loss resulting from pricing errors, stock discrepancies, or inaccurate data retrieved from third-party sources.
• Any legal action taken against you by any third party, including brand owners, rights holders, buyers, or suppliers, arising from your use of the Services.
• Any tax liability, penalties, or financial consequences resulting from your dropshipping activity or your reliance on financial data within the Services.
• Any losses resulting from user error, misuse of the Services, or failure to comply with third-party platform terms.
• Service interruptions caused by eBay, Amazon, Firebase, Stripe, OpenAI, or any other third-party service provider.

IN NO EVENT SHALL DROPANION'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO DROPANION IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Dropanion and its owners, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Services.
• Your violation of these Terms.
• Your violation of any third-party right, including intellectual property rights, privacy rights, or platform terms of service.
• Any product you list, sell, or fulfill through your use of the Services.
• Any claim brought by a buyer, supplier, brand owner, rights holder, or any other third party related to your selling or dropshipping activity.
• Any tax liability or regulatory penalty arising from your business activity.

16. Affiliate & Creator Program

Dropanion offers a Creator Program that allows eligible participants to earn commissions by referring new subscribers. Participation is subject to separate program terms and eligibility requirements. Dropanion reserves the right to modify commission rates, payment terms, and program eligibility at any time. Commissions are forfeited upon termination of your account for violation of these Terms. The Creator Program is not a guarantee of income; individual results vary.

17. Termination

Dropanion may suspend or terminate your account and access to the Services at any time, with or without notice, for any violation of these Terms, suspected fraudulent or abusive activity, or for any other reason at our sole discretion. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination — including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — shall survive.

18. Force Majeure

Dropanion is not liable for any failure or delay in performance of the Services caused by circumstances beyond our reasonable control, including but not limited to changes to eBay's or Amazon's APIs or policies, actions by third-party service providers (including Firebase, Stripe, or OpenAI), internet outages, cyberattacks, natural disasters, or changes in applicable law.

19. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered in the State of Ohio, rather than in court. You and Dropanion each waive the right to a trial by jury and the right to participate in any class action, class arbitration, or representative proceeding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Services.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Ohio, without regard to conflict of law principles.

21. Changes to These Terms

Dropanion reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date above, and/or by sending an email to the address associated with your account. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

22. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dropanion with respect to the Services and supersede all prior agreements, understandings, or representations.
